Woodworking Contract Template

This Agreement is made on [Document.CreatedDate]​ by and between [Employer.FirstName][Employer.LastName] / [Employer.Company]​ (hereinafter "Employer"), and [Woodworker.FirstName][Woodworker.LastName] / [Woodworker.Company]​ (hereinafter "Woodworker"). 

This Agreement shall be governed by and shall be construed in accordance with the laws of the State of [Employer.State]. 

The Employer and Woodworker agree to the terms and conditions set forth below:

Term of Hiring

Employer agrees to hire Woodworker to perform the work stated in the 'Description of Services' section of this agreement. The Woodworker acknowledges that they are an independent contractor and not an employee, partner, or agent of the Employer. The Woodworker shall have no authority to obligate or bind the Employer in any manner nor shall the Woodworker represent to anyone that they have a right to do so.

Description of Services

Woodworker agrees to perform work for the Employer in accordance with the terms and conditions of this agreement, and specifically as follows: (describe the services to be performed as per this agreement) (hereinafter "Services")

Location

The Services will be performed at [Employer.StreetAddress], [Employer.City], [Employer.State][Employer.PostalCode].

Completion Date

The Services to be performed shall be completed on or before the (number) day of (month), (year) unless an extension is agreed to in writing and this agreement is amended with acknowledgment and acceptance of all parties. 

Compensation

In consideration of the Services to be performed by the Woodworker for the Employer, the Employer shall pay to the Woodworker the sum of $(amount). This compensation will be paid (daily/weekly/monthly/upon full completion) (select one, delete the rest).

Working Conditions

The Woodworker is to eliminate all debris and materials related to their work or keep debris in onsite waste bins if provided by the Employer as the waste is generated. Failure to clean up or control scrap and waste will result in a back charge to the Woodworker by the Employer for all costs or delays made.

Termination

The Employer may terminate this Agreement for issues that include, but are not limited to, the following reasons;  Failure of the Woodworker to perform services, failure to complete work on schedule, or a breach of any term or terms of this contract. The Employer may also terminate this agreement at any time providing (number) days' written notice to the Woodworker.

Insurance

The Woodworker warrants that they have or will have upon project initiation, liability, property, and casualty insurance from a responsible insurer having minimum limits of not less than $(amount) for liability, and $(amount) for property and casualty losses for each occurrence. The Woodworker will, upon request from the Employer, provide proof of insurance at any point during the project. 

Licensing

The Woodworker acknowledges that they hold all required licensing and certification needed in the state where the Services are being provided to complete the Services specified in this agreement. The Woodworker will provide proof of licensing and certification upon request from the Employer.

Damages

Any damage caused to the site where the Services will be rendered shall be paid for by the Woodworker upon demand by the Employer. Any work that does not meet building codes or does not pass a professional examination will be removed and replaced at the Woodworker's expense. 

Changes

If any alterations or adjustments are made to the original Services to be provided by the Woodworker, it must first be agreed to by the Employer.

Assignment

The Woodworker shall not assign any of their rights under this Agreement, or delegate the performance of any of their duties hereunder, without the express written prior consent of the Employer. 

Indemnity

The Woodworker agrees to hold the Employer safe from any and all events, claims, expenses, costs, or Attorney's fees arising out of the acts or lapses of the Woodworker with regard to the performance or lapse of any of the Woodworker's duties in this Agreement. The security extends to any claims declared by any later property owner alleging improper or faulty workmanship, materials of any work done, or materials supplied by the Woodworker.

Enforceability 

If any term or clause of this Agreement is deemed by a court of law to be invalid, the remainder of this Agreement shall remain fully enforceable. The terms of this Agreement shall be binding upon the successor, executors, assignees, and trust successors of the parties hereto.

Entire Agreement

This Agreement constitutes the entire agreement between the parties pertaining to these Services, and it supersedes all prior agreements and understandings of the parties. No supplement, amendment, or modification of this Agreement shall be binding unless executed in writing by all parties.
