If you’re hiring a woodworker that you know will be using sub-contractors and you’ve agreed to that, then you may want to amend this clause to acknowledge that or delete it altogether.
Indemnity
The Woodworker agrees to hold the Employer safe from any and all events, claims, expenses, costs, or Attorney's fees arising out of the acts or lapses of the Woodworker with regard to the performance or lapse of any of the Woodworker's duties in this Agreement. The security extends to any claims declared by any later property owner alleging improper or faulty workmanship, materials of any work done, or materials supplied by the Woodworker.
Enforceability
If any term or clause of this Agreement is deemed by a court of law to be invalid, the remainder of this Agreement shall remain fully enforceable. The terms of this Agreement shall be binding upon the successor, executors, assignees, and trust successors of the parties hereto.
Entire Agreement
This Agreement constitutes the entire agreement between the parties pertaining to these Services, and it supersedes all prior agreements and understandings of the parties. No supplement, amendment, or modification of this Agreement shall be binding unless executed in writing by all parties.
