Intellectual Property and Confidentiality

IP Ownership

The Parties acknowledge that the RPA solution may involve the creation of custom automation tailored to the unique processes of [Client.Company]. Accordingly, ownership of intellectual property rights associated with these custom automation shall be explicitly allocated as follows:

Limitation of Liability

Direct Damages

The Provider's liability for any direct damages arising out of or in connection with the RPA services shall be limited to the total fees paid by the Client for the specific service giving rise to the claim.

Consequential Damages

In no event shall the Provider be liable for any consequential, indirect, incidental, special, or punitive damages, including but not limited to lost profits, business interruption, or loss of data.

Exclusions

The limitations of liability set forth herein shall not apply to damages resulting from the Provider's gross negligence or willful misconduct.

Force Majeure

The Provider shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, acts of government, war, riot, civil unrest, acts of terrorism, labor disputes, or equipment failures.

Claims Procedure
