Recitals

Background and Consideration

This Employee Repayment Agreement(the "Agreement") is entered into on (Date), by and between [Employer.Company], a (County/State) corporation with its principal place of business at [Employer.StreetAddress][Employer.City][Employer.State][Employer.PostalCode] (hereinafter referred to as the "Company"), and [Employee.FirstName][Employee.LastName], an individual residing at [Employee.StreetAddress][Employee.City][Employee.State][Employee.PostalCode] (hereinafter referred to as the "Employee"). The Company and the Employee are collectively referred to as the "Parties."

The Company has employed the Employee in the capacity of (Job Title) since (Start Date). During the course of their employment, the Employee received certain benefits, including but not limited to (List any benefits or payments received). In consideration for the benefits provided by the Company, and as an inducement for the Company to continue providing such benefits, the Parties hereto agree to the terms and conditions contained herein.

This Agreement supersedes and replaces any prior oral or written agreements, understandings, or arrangements between the Parties concerning the subject matter herein. Any and all prior agreements not expressly referenced herein are null and void.

Parties to the Agreement

WHEREAS, the Company and the Employee (collectively referred to as the "Parties") wish to set forth the terms and conditions under which the Company's certain financial obligations will be repaid.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows:

Purpose of the Agreement

This Agreement aims to set forth the terms and conditions under which the Employee shall repay certain financial obligations to the Company, which are more specifically described and incorporated by reference.

Effective Date

This Agreement shall become effective as of the Effective Date, as mentioned in the introductory paragraph.

IN WITNESS WHEREOF, the Parties hereto have executed this Employee Repayment Agreement as of the Effective Date.

Terms of Repayment

Repayment Amount

The Employee acknowledges and agrees to repay to the Company the total sum of (Specify the total amount to be repaid) (the "Repayment Amount").

Repayment Schedule

The Employee shall make repayments according to the following schedule:

Default and Consequences

This Employee Repayment Agreement is executed on (Date of Execution) by the undersigned Employee and the Company. It shall remain in effect until the Repayment Amount is paid in full.

Severability Clause

If any provision of this Agreement, or the application thereof to any person or circumstances, shall be held by a court of competent jurisdiction to be invalid, unenforceable, or void, such provision shall be enforced to the fullest extent permitted by law.

The remainder of this Agreement and the application of such provision to other persons or circumstances shall remain in full force and effect. They shall not be affected, impaired, or invalidated.

Tax Considerations

The Parties acknowledge and understand that the repayment made pursuant to this Agreement may have tax implications. It is the sole responsibility of the Employee to seek independent tax advice regarding the treatment of these repayments for tax purposes. The Employer makes no representations or warranties concerning the tax consequences of the repayments.

The Employer may be required by applicable tax laws to withhold taxes from the repayments made under this Agreement. The Employee agrees that the Employer may withhold such taxes as required by law and that the Employee is responsible for any additional tax liability that may arise as a result of the repayments.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of [Employer.State], without regard to its conflict of laws principles.

Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be initiated and conducted in the state and federal courts located within the State of [Employer.State]​. The parties hereby irrevocably consent to the personal jurisdiction of such courts and waive any objections they may have regarding venue, forum non-conveniens, or any similar doctrine.
