The Sender prepared this Proposal exclusively for the Client. If the Client signs this Proposal, they agree to enter into a binding agreement with the Sender to employ [Sender.Company] for the duration of this Project. The Start Date of this Agreement will be as dated below by the signatures of both Parties.
If the Sender cannot complete the Project by the specified date due to their own reasons, the Sender will pay a delay penalty of $(Amount) for each day of delay. However, the Client understands that unforeseen circumstances that the Sender has no influence on may occur that delay the Project.
Unforeseen circumstances for this Project include, but are not limited to, natural disasters, lack of the required hardware or equipment in the market, non-responsiveness from the Client, non-payment, and failure of hardware, software, and equipment. In the case of these circumstances, no delay penalty fee will apply, and the Sender will consult with the Client on the adjusted completion date.
This Proposal and all its payment plans, schedules, and statements of work depend on the following assumptions:
Both Parties agree to the terms and conditions above, and it will govern the work the Sender performs.
The Client will provide reasonably prompt feedback on development reports, questions, and final deliverables within (Number) hours/days.
The Client will provide all their feedback on the various stages, questions, and reports in one round of comments. The Client understands that if more rounds of comments are required or sent late, it may affect the estimated completion date.
The Client will ensure that all relevant staff members are accessible during the agreed-upon hours for the duration of this Project.
The Sender and its personnel will have remote access to on-premise infrastructure and any other access required for the Project completion for the duration of this Project.
