Brand Ambassador Contract Template

THIS BRAND AMBASSADOR CONTRACT IS MADE AND ENTERED INTO AS OF [Document.CreatedDate] BETWEEN [BA.FirstName][BA.LastName], HEREINAFTER REFERRED TO AS "BRAND AMBASSADOR, AND [Sender.Company], HEREINAFTER REFERRED TO AS "COMPANY."

The Company is engaged in (insert a brief description of the services provided by the company), and the Brand Ambassador is (an influencer, certified professional, marketer, etc.). Both Parties agree that the Brand Ambassador will promote the Company by (describe how the brand ambassador will promote the company, i.e., on social media channels, in person at a specific event(s), etc.).

(Add specific services to be rendered if certain deliverables need to be clarified and are firmly expected of the brand ambassador.)

In consideration of the full performance of the Brand Ambassador’s services as described herein, the Company shall compensate the Brand Ambassador the full "Contract Price" in the form of (specify the compensation arrangement, i.e., in receipt of an invoice for hourly rate, flat rate, commission, etc.).

The Parties agree that payment of the Contract Price will be issued within (XX) days of the Brand Ambassador's services being fully rendered. The Brand Ambassador understands and acknowledges that this is the sole compensation for the services described in this Contract and that no additional compensation will be granted. The Brand Ambassador also understands that compensation is due upon the fulfillment of the duties and obligations of the Brand Ambassador.

The Brand Ambassador is an independent contractor. The relationship between the Company and Brand Ambassador shall not be understood to be that of employer and employee, nor to constitute a partnership, joint venture, or agency of any kind. The Brand Ambassador will not be considered an employee for any of the Company's employment policies or any employee benefit plan. The Brand Ambassador will not be entitled to any benefits under any such policy or benefit plan. The Brand Ambassador is responsible for paying their own taxes and insurance.

The copyright of the Brand Ambassador to any intellectual property shall remain with the Brand Ambassador. Usage of the Brand Ambassador's copyrighted works after the termination date of this agreement will require the consent of the Brand Ambassador or the execution of a new agreement between the Brand Ambassador and the Company.

The Brand Ambassador acknowledges that the intellectual property and/or physical property along with any derivatives thereto are covered by patent, copyright, and other intellectual property rights owned or licensed by the Company.

The Brand Ambassador acknowledges that all documentation, any inventions, and ideas, written material or other property, tangible or intangible, arising out of or resulting from the Brand Ambassador’s performance of the services provided hereunder is owned by the Company, for all purposes.

The Brand Ambassador represents and warrants that:

During the period of this Contract, the Brand Ambassador will regard any information provided to it by the Company as confidential (“Confidential Information”). The Brand Ambassador will not disclose the Company’s Confidential Information to any third party without the Company's prior written consent, nor make use of any of the Company’s Confidential Information except in its fulfillment of this Contract.

Information will not be deemed Confidential Information hereunder if such information is known prior to receipt from the Company without any obligation of confidentiality or becomes publicly known or otherwise publicly available, except through a breach of this Contract. The Brand Ambassador acknowledges that disclosure of any Confidential Information may give rise to irreparable injury to the Company, and the Company may seek and obtain punitive relief against a breach, in addition to any other legal remedies that may be available.

The Contract shall remain in effect and fully enforceable for a period of (X) hours/days/months/years, beginning on the effective date of this agreement until (date or period of time that you want the agreement to be binding until) unless terminated prematurely by either party. Notification (XX) days in advance shall be required should either party decide to terminate the agreement prior to the previously agreed-upon termination date.

If any of the provisions in this agreement are held to be invalid by a court of law, the ruling shall apply only to said provision and not the remaining provisions, which shall remain valid and enforceable.

No alterations or modifications of this agreement shall be considered binding unless agreed to in writing by both parties.
